Treasure AI Experience Terms of Service

These TREASURE AI EXPERIENCE TERMS OF SERVICE and all policies and documentation expressly incorporated herein (collectively, these “Terms”) are made between (a) Treasure Data, Inc. dba Treasure AI (“Treasure AI”) and (b) the individual using the Service and legal entity or business on behalf of or for the benefit of which the individual is using the Service (collectively, “Customer” or “you”). These Terms govern Customer’s access to and use of Treasure AI Experience, along with any associated software applications and websites (collectively, “Service”).

If you have entered into a master services agreement, terms of service, order form, or similar contract with Treasure AI governing your access to and use of Treasure AI’s products and services (collectively, a “Service Agreement”), the Service is not available under or subject to the Service Agreement terms. For the avoidance of doubt, no obligation, warranty, indemnity, service level, or remedy under the Service Agreement shall apply to the Service.

By clicking “I Agree” or using the Service, you agree to and accept these Terms, you represent and warrant to Treasure AI that you have the authority to bind the legal entity or business on whose behalf or for whose benefit you are using the Service to these Terms, and you enter into these Terms on such entity’s behalf. IF YOU DO NOT HAVE SUCH AUTHORITY OR DO NOT AGREE TO THESE TERMS, THEN YOU MUST NOT ACCEPT THESE TERMS, ACCESS, OR USE THE SERVICE OR AUTHORIZE OR PERMIT ANY OTHER PERSON OR ENTITY TO DO SO.

1. REGISTRATION AND ACCESS

1.1 Minimum Age. You must be at least 18 years old to use the Service.

1.2 Registration. Customer must provide accurate and complete information to register for an account to use the Service. Customer shall not share account credentials or make the account available to anyone else, and is responsible for all activities that occur under the account. Accounts registered by “bots”, generic team accounts for sharing or other automated methods are not permitted. If you create an account or use the Service on behalf of another person, you represent and warrant that you have the authority to accept these Terms on their behalf and the consent and permission to provide the information of such person in order to create an account.

2. USE OF THE SERVICE

2.1 Permitted Use. Subject to Customer’s compliance with these Terms, Customer may access and use the Service solely on an evaluation basis for business purposes. Permitted use of the Service is limited to any and all use restrictions or limitations that Treasure AI implements with respect to the Service, as determined and measured by Treasure AI in its sole and absolute discretion. The Service shall not be used for production or personal purposes. In using the Service, Customer must comply with all applicable laws as well as the AI Acceptable Use Policy (“AUP”) and any other documentation, guidelines, or policies made available by Treasure AI. For purposes of clarity, references to AI Terms or Service Agreement in the AUP shall mean these Terms and references to AI Services in the AUP shall mean the Service.

2.2 Restrictions. Customer shall not use the Service beyond the permitted use in Section 2.1 or other stated limitations or entitlements in these Terms or any documentation, or for any illegal, harmful, deceptive, or abusive activity. Without limiting the foregoing, Customer shall NOT:

  1. Use the Service in a way that infringes, misappropriates, or violates anyone’s rights.
  2. Modify, copy, lease, sell, or distribute any part of the Service.
  3. Attempt to or assist anyone to reverse engineer, decompile, or discover the source code or underlying components of the Service, including models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).
  4. Automatically or programmatically extract data or Output (defined below).
  5. Represent that Output was human-generated when it was not.
  6. Interfere with or disrupt the Service, including circumventing any rate limits or restrictions or bypassing any protective measures or safety mitigations put on the Service.
  7. Use the Service or Output to develop models, products, or services that compete with the Service.
  8. Upload, provide, or use any Input for which Customer has obtained all necessary rights, consents, or permissions to enable such upload, provision, or use.
  9. Use the Service to upload, submit, store or otherwise process any information that can be related to an identified or identifiable individual or household or that otherwise constitutes “personal data” or “personally identifiable information” under applicable privacy and data protection laws (“Personal Data”), including without limitation any sensitive data or contact information. Customer acknowledges that any such use of the Service is strictly prohibited and outside the intended scope of the Service.
  10. Upload or provide to the Service as Input any card holder data or other information covered by the Payment Card Industry Data Security Standard or any other category of data which is granted enhanced protection under applicable laws or regulations.
  11. Use the Service (a) to collect or search for Personal Data; (b) for surveillance; or (c) for unauthorized data collection, system access, monitoring, or manipulation.

2.3 Third-Party Services. The Service may include third-party software, products, or services or connections thereto (“Third-Party Services”), and some parts of the Service may include output from those services (“Third-Party Output”). Third-Party Services and Third-Party Output are subject to their own terms, and Treasure AI is not responsible for them. Customer remains responsible for configuring and using the Service and any Third-Party Services connections in accordance with this Agreement, applicable law and any applicable contractual term between Customer and the third-party.

2.4 Feedback. Customer grants Treasure AI a royalty-free, fully paid, sub-licensable, transferable, non-exclusive, irrevocable, perpetual, worldwide right and license to use any feedback, recommendations, or suggestions regarding the Service without restriction or compensation to Customer.

2.5 Third-Party AI Service Providers. Treasure AI uses third-party sub-processors for performing certain generative artificial intelligence services (“AI Services”) (such sub-processors, “AI Service Providers”). Customer acknowledges and agrees that Treasure AI may transfer Content to its AI Service Providers and the AI Service Providers will process Content. Customer may only use the AI Services for the use cases listed from time to time in Treasure AI Documentation.

2.6 Actions. The Service may be enabled by Customer to take Actions on behalf of Customer. “Actions” refers to the automated set of tasks that the Service takes on behalf of Customer at Customer's request. When Customer signs the Service into Third-Party Services, it may be able to access confidential data of those Third-Party Services (e.g., emails, files, or account settings). When Actions are enabled, the Service may perform Actions on behalf of Customer affecting data and settings in the Service and/or the Third-Party Services (e.g., data deletion or creation, sharing files, modifying account settings). CUSTOMER IS SOLELY RESPONSIBLE AND LIABLE (A) FOR ACTIONS AND ANY RESULTS OR CONSEQUENCES; AND (B) FOR THE ONGOING MONITORING OF THE USE OF THE SERVICE BY CUSTOMER.

2.7 Use and Account Data. You agree that Treasure AI may collect and process data related to your use of the Service (“Use Data”), and data that you submit to us in connection with the creation of your account or to request our team to reach out to you. Use Data may be used for the purpose of: (a) supporting, maintaining, improving, or optimizing the Service; (b) develop additional products and services; and (c) developing and distributing general benchmarks or statistics pertaining to the Service, provided such benchmarks and statistics do not contain any Personal Data or information that could identify Customer. Where such information constitutes Personal Data, Treasure AI processes it as an independent controller (or equivalent role under applicable privacy law) in accordance with Treasure AI Privacy Statement.

3. CONTENT

3.1 Customer’s Content. Customer may provide input to the Service (“Input”) and receive output from the Service based on the Input (“Output”). Input and Output are collectively “Content.” Customer is solely responsible for Content, including ensuring that it does not violate any applicable law or these Terms. Customer represents and warrants that it has all rights, licenses, and permissions needed to provide and process Input and to provide the Service to you, including for example, to integrate with Third-Party Services, to share Content with others at your direction, and to take Actions. You also represent and warrant that your submitting Inputs or Actions will not violate these Terms, the AUP, or any laws or regulations applicable to those Inputs or Actions.

3.2 Ownership of Content. As between Customer and Treasure AI, and to the extent permitted by applicable law, Customer (a) retains its ownership rights in Input and (b) owns the Output. Treasure AI hereby assigns to Customer all right, title, and interest, if any, in and to the Output.

3.3 Similarity of Content. Due to the nature of the Service and artificial intelligence generally, Output may not be unique, and other users may receive similar output from the Service. The assignment in Section 3.2 does not extend to other users’ output or any Third-Party Output.

3.4 Treasure AI’s Use of Content. Treasure AI may use Content to provide, maintain, develop, and improve the Service, comply with applicable law, enforce its terms and policies, and keep the Service safe. Customer represents and warrants that it has any and all right, licenses, consent and permission required to enable this use of the Content. Notwithstanding anything to the contrary, Treasure AI (a) is under no obligation to host or serve any Content; (b) will not use or enable any third party provider to use Input to train any large language artificial intelligence models; (c) may delete any Content in violation of these Terms; and (d) shall not be liable or responsible for such deletion.

3.5 Accuracy. Customer understands and agrees that:

  • Output may not always be accurate, complete or fit for purpose. Customer shall not rely on Output from the Service as a sole source of truth or factual information, or as a substitute for professional advice.
  • Customer must evaluate Output for accuracy, completeness, and appropriateness for Customer’s use case, including using human review as appropriate, before using or sharing Output from the Service.
  • Customer shall not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
  • The Service may provide incomplete, incorrect, or offensive Output that does not represent Treasure AI’s views. If Output references any third-party products or services, it does not imply the third-party endorses or is affiliated with Treasure AI.

3.6 Content Moderation. Treasure AI and/or the AI Service Provider used to process Content may use human or automated abuse detection mechanisms designed to detect harmful content, including content related to potential violations of applicable terms of service or acceptable use policies. If these mechanisms detect apparent child sexual abuse material, Customer agrees that Treasure AI and/or the AI Service Provider may report the incident to the U.S. National Center for Missing and Exploited Children or another authority. Nothing in these Terms shall inhibit Treasure AI’s ability or obligations to comply with any moderation or reporting requirements under applicable law in respect of Content. In addition, to the extent AI Services are provided through Amazon Bedrock, the AI Service Provider may share information that does not include Content about Customer’s use of a third-party model on Amazon Bedrock with the provider of that third-party model. 4. PROPRIETARY RIGHTS

Treasure AI and its licensors own all right, title, and interest in and to the Service.

5. TERMINATION AND SUSPENSION

5.1 Termination by Customer. Customer is free to stop using the Service at any time.

5.2 Termination by Treasure AI. Treasure AI reserves the right to suspend or terminate Customer’s access to the Service or delete Customer’s account:

5.2.1 if Treasure AI determines Customer has breached these Terms;

5.2.2 if Treasure AI determines it must do so to comply with the law;

5.2.3 if Treasure AI determines that Customer’s use of the Service could cause risk or harm to Treasure AI, its users, or anyone else; or

5.2.4 otherwise at any time with or without cause or notice to Customer.

5.3 Discontinuation of Services. Treasure AI may decide to discontinue the Service at any time in its sole discretion.

5.4 Effect of Termination. Upon termination, all rights and licenses granted to Customer shall immediately cease. Customer’s Content shall be deleted after termination.

6. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, TREASURE AI AND ITS AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICE, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. TREASURE AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE, OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

CUSTOMER ACCEPTS AND AGREES THAT ANY USE OF OUTPUT FROM THE SERVICE IS AT CUSTOMER'S SOLE RISK AND CUSTOMER WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

7. LIMITATION OF LIABILITY

NEITHER TREASURE AI NOR ANY OF ITS AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF TREASURE AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TREASURE AI’S AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Some countries and states do not allow the disclaimer of certain warranties or the limitation of certain damages, so in those instances some or all of the terms above may not apply to Customer, and Customer may have additional rights. In that case, these Terms only limit Treasure AI’s responsibilities to the maximum extent permissible in Customer’s country of residence.

TREASURE AI’S AFFILIATES, SUPPLIERS, LICENSORS, AND DISTRIBUTORS ARE INTENDED THIRD-PARTY BENEFICIARIES OF THIS SECTION.

8. INDEMNIFICATION

Customer will indemnify and hold harmless Treasure AI, its affiliates, and its personnel, from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third-party claims arising out of or relating to Customer’s use of the Service and Content or any violation of these Terms.

9. GENERAL PROVISIONS

9.1 Assignment. Customer may not assign or transfer any rights or obligations under these Terms, and any attempt to do so will be void. Treasure AI may assign its rights or obligations under these Terms to any affiliate, subsidiary, or successor in interest of any business associated with the Service.

9.2 Changes to these Terms or the Service. Treasure AI may update these Terms or the Service from time to time. All changes will be effective as soon as they are posted to Treasure AI’s website. If Customer does not agree to the changes, Customer must stop using the Service.

9.3 Delay in Enforcing these Terms. Treasure AI’s failure to enforce a provision is not a waiver of its right to do so later. If any portion of these Terms is determined to be invalid or unenforceable, that portion will be enforced to the maximum extent permissible and it will not affect the enforceability of any other terms.

9.4 Trade Controls. Customer must comply with all applicable trade laws, including sanctions and export control laws. The Service may not be used in or for the benefit of, or exported or re-exported to (a) any U.S. embargoed country or territory or (b) any individual or entity with whom dealings are prohibited or restricted under applicable trade laws. The Service may not be used for any end use prohibited by applicable trade laws, and Customer’s Input may not include material or information that requires a government license for release or export.

9.5 Entire Agreement. These Terms contain the entire agreement between Customer and Treasure AI regarding the Service and supersede any prior or contemporaneous agreements between Customer and Treasure AI with respect to the Service.

9.6 Governing Law; Venue. California law will govern these Terms except for its conflicts of laws principles. All claims arising out of or relating to these Terms will be brought exclusively in the federal or state courts of Santa Clara County, California.
