Treasure AI Voice Supplemental Terms

These Treasure AI Studio Supplemental Terms (“Studio Terms”) govern the access to and use of Treasure AI Studio (as defined below) by the legal entity named in the order form or similar document that authorized such access and use (“Customer”). These Studio Terms are intended to supplement, and form part of, the order form, master services agreement, terms of service and/or other agreement(s) that collectively govern the provision of services by Treasure Data, Inc. dba Treasure AI (“Treasure AI”) to Customer (collectively, the “Agreement”). Capitalized terms used but not defined in these Studio Terms have the meanings assigned to them elsewhere in the Agreement. In the event of a conflict between these Studio Terms and other provisions of the Agreement, these Studio Terms will control solely with respect to Treasure AI Studio. Treasure AI Studio may only be accessed and used in connection with an active subscription to the applicable Agentic Experience Platform (formerly, Intelligent Customer Data Platform) Service or Treasure Data AI Agent Foundry Service (as applicable, “Core Service”).

By agreeing to these Studio Terms or using Treasure AI Studio, User represents and warrants to Treasure AI that User has the authority to bind the Customer on whose behalf or for whose benefit User is using Treasure AI Studio to these Studio Terms, and User enters into these Studio Terms on Customer’s behalf. IF USER DOES NOT HAVE SUCH AUTHORITY OR DOES NOT AGREE TO THESE STUDIO TERMS, THEN USER MUST NOT ACCEPT THESE STUDIO TERMS, ACCESS, OR USE TREASURE AI STUDIO OR AUTHORIZE OR PERMIT ANY OTHER PERSON OR ENTITY TO DO SO.

  1. Definitions
    1. “Actions” refers to the automated set of tasks that Treasure AI Studio takes on behalf of Customer or a User at the Customer's or User’s request.
    2. “Software” means the software, and related client applications, plug-ins, and tools, for Treasure AI Studio provided by or on behalf of Treasure AI in executable or object code form that Customer or its Users install, download, or otherwise run locally (including desktop, mobile, browser, IDE, and command line components).
    3. “Studio Data” means electronic data and information submitted to, imported, or otherwise transferred by or on behalf of Customer to Treasure AI Studio and any derivatives, refinements, enrichments and output thereof generated by Customer’s use of Treasure AI Studio. For the sake of clarity, Studio Data is considered Customer Data (or “Collected Data", where this defined term only is used in the Agreement) under the Agreement.
    4. “Treasure AI Studio” means the Treasure AI Studio Software and browser-based interface provided by or on behalf of Treasure AI, subject to these Studio Terms.
  2. Use and Data Protection
    1. AI Credit Consumption. Use of Treasure AI Studio requires the purchase and consumption of AI Credits by Customer. Customer is solely responsible for monitoring and managing its AI Credit usage.
    2. Users and Accounts. Use of Treasure AI Studio is limited to Users authorized under the Agreement and is subject to all account and security obligations applicable to the Core Services.
    3. Actions. Treasure AI Studio may be enabled by Customer or a User to take Actions on behalf of the Customer or User. When Customer or User signs Treasure AI Studio into Third-Party Services, it may be able to access confidential data of those Third-Party Services (e.g., emails, files, or account settings). When Actions are enabled, Treasure AI Studio may perform Actions on behalf of the Customer or User affecting data and settings in the Core Services, Customer’s environment, and/or the Third-Party Services (e.g., data deletion or creation, sharing files, modifying account settings). WHEN CUSTOMER OR USER REQUESTS THAT TREASURE AI STUDIO TAKE ACTIONS ON THEIR BEHALF, CUSTOMER AND THE USER ARE SOLELY RESPONSIBLE AND LIABLE (A) FOR THOSE ACTIONS AND ANY RESULTS OR CONSEQUENCES; AND (B) FOR THE ONGOING MONITORING OF THE USE OF TREASURE AI STUDIO BY CUSTOMER AND ITS USERS.
    4. Connectors to Third-Party Services. Treasure AI Studio may enable Customer to configure and connect Treasure AI Studio to Third-Party Services (for example, external model providers, repositories, productivity tools, data sources, or communication platforms) not provided by Treasure AI and that Customer uses under an agreement with a third party. Customer remains responsible for configuring and using Treasure AI Studio and any Third-Party Services connections in accordance with this Agreement, applicable law and any applicable contractual term between Customer and the third-party.
    5. Personal Data. To the extent Studio Data includes Personal Data (as this term is defined under the DPA) that Treasure AI processes on behalf of Customer as a “processor” or “service provider” (or other equivalent concept under applicable privacy law), the DPA or other data processing agreement entered by the Parties in connection with the Agreement applies (“Applicable DPA”). The Applicable DPA is hereby amended as and to the extent necessary to give effect to the provisions of this Section 2. Except as expressly modified hereunder, the Applicable DPA remains in full force and effect.
    6. Consent to new Subprocessors. Customer hereby consents to Treasure AI’s engagement of any third-party “feature-specific” subprocessor engaged for the performance of any portion of the services provided under these Studio Terms that is publicly disclosed on this page at the time of acceptance of these Studio Terms. Any additional new subprocessor may be authorized by the Customer during the term of the Agreement in accordance with the Applicable DPA.
    7. Consequences of Termination. Treasure AI shall delete all Personal Data included in Studio Data in its possession within 30 days from termination or expiration of the Order Form under which Treasure AI Studio is provided, unless otherwise required by law or agreed by the Parties in writing.
    8. Sensitive and High-Risk Data. Customer acknowledges that Treasure AI Studio is not intended to be used to process Sensitive Data (as this term is defined under the Terms of Service). Customer shall not use Treasure AI Studio to process any Sensitive Data except as otherwise expressly agreed by the Parties under the Agreement. Unless Customer has entered into a Business Associate Agreement (“BAA”) with Treasure AI, Customer agrees: (i) not to process any health or medical information or other patient information protected by the US Health Insurance Portability and Accountability Act or related regulations (“HIPAA Data”) via Treasure AI Studio, and (ii) to the extent permitted under applicable law, Treasure AI will have no liability under the Agreement for HIPAA Data, notwithstanding anything to the contrary in this Agreement. Upon mutual execution of the BAA, the BAA is incorporated by reference into this Agreement and is subject to its terms.
    9. AI Services. Treasure AI Studio uses certain generative artificial intelligence technology. Accordingly, use of Treasure AI Studio shall be subject to the Treasure Data AI Terms (available at (https://www.treasuredata.com/terms/ai-terms) and the Treasure Data AI Acceptable Use Policy (available at https://www.treasuredata.com/terms/ ai-acceptable-use-policy), or such alternative AI terms and policies as Customer and Treasure Data have agreed upon in the Agreement (as applicable).
  3. Software
    1. Access and Use; Software License. Access and use of the Treasure AI Studio may require the User to download, install and use the Software on a compatible desktop or mobile device. Treasure AI shall grant each User a limited, revocable, non-exclusive, non-transferable, non-assignable, non-sublicensable, and royalty-free license to use the Software in object code format on a compatible device, solely to access and use Treasure AI Studio during the applicable Subscription Term. Treasure AI Studio is Treasure AI Technology and is licensed, not sold. All rights not expressly granted in these Studio Terms or the Agreement are reserved by Treasure AI and its licensors.
    2. System Requirements; Changes. Customer’s use of Treasure AI Studio requires one or more compatible devices, Internet access, and certain third-party software, and Users may be required to obtain updates, releases, patches or upgrades (collectively, “Updates”) from time to time for Treasure AI Studio or third-party software, which may result in additional costs. Customer and its Users shall promptly implement the latest Updates. Treasure AI shall have no liability to the extent caused by Customer’s failure to promptly implement any Updates. Because use of Treasure AI Studio involves hardware, software, and Internet access, Users’ ability to access and use Treasure AI Studio may be affected by the performance of the foregoing. High-speed Internet access is recommended. Customer is solely responsible for any fees that may apply to its Users’ access to or use of Treasure AI Studio, including fees for hardware, software, Internet access. Treasure AI may, in its sole discretion, discontinue availability or compatibility of Treasure AI Studio, on a particular operating system, device, or platform.
    3. Local storage. As between Treasure AI and Customer, Customer is responsible for the security and deletion of any Studio Data stored in the local memory of any device on which Treasure AI Studio is installed or used, in accordance with Customer’s internal policies and applicable law.
    4. Restrictions. Without limiting any applicable restrictions under the Agreement, other than as expressly permitted under the Agreement, Customer shall not (and shall ensure that its Users do not):
      1. use the Treasure AI Studio for any purpose other than accessing and using Treasure AI Studio as permitted in this Section 3.1 and in accordance with Documentation;
      2. copy, modify, translate, adapt, create derivative works of, or attempt to merge Treasure AI Studio with other software, except as expressly permitted in the Documentation;
      3. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Treasure AI Studio, except to the limited extent expressly permitted by applicable law that cannot be contractually waived;
      4. remove, alter, or obscure any proprietary notices or labels on or in Treasure AI Studio;
      5. sublicense, rent, lease, lend, sell, assign, distribute, or otherwise transfer Treasure AI Studio or any rights thereto to any third party; or
      6. use Treasure AI Studio to copy features or functions of Treasure AI Studio or any Core Services, or to build similar or competitive products or services.
  4. Miscellaneous
    1. Survival. Sections 2.7, 2.8, 3.1, 3.2, 3.3, and 3.4, and this Section 4 will survive any expiration or termination of the Agreement to the extent necessary to give effect to their terms.
    2. No Additional Warranties. Except as expressly stated in these Studio Terms, Treasure AI Studio is subject to the warranties, disclaimers, limitations of liability, and indemnities set forth in the AI Terms and the Agreement applicable to the Core Service. No additional warranties are provided under these Studio Terms.
    3. Introductory Access. Customer acknowledges that its current access to Treasure AI Studio is a limited introductory, non-guaranteed offering for customers who have purchased a Core Service. Treasure AI, in its business discretion, retains the right to determine the commercial model for Treasure AI Studio. Treasure AI may, with prior notice of at least sixty (60) days, announce that Treasure AI Studio will become a separate, paid-for product or feature, or that its terms of access and use will be amended, and Customer agrees that upon such notice, the provisions of this Section shall automatically terminate, and continued access will require Customer to execute a new Order Form or separate agreement with new commercial terms for Treasure AI Studio. Any such discontinuation of Treasure AI Studio as an offering for customers who have purchased a Core Service shall not be deemed to impair, reduce the functionality or adversely impact Customer's use of the Core Service.
